The terms, in plain language

These are the clauses that decide what happens when something goes wrong, which is the only time anyone reads a contract. We would rather you knew them before signing than discovered them afterwards.
Payment schedule
Fixed-scope work is billed in milestones — typically 30% to start, then against defined deliverables. Retainers are billed monthly in advance. Net 15 for new clients, net 30 once a relationship is established.
Change orders
Scope changes are priced and approved in writing before work starts on them. We do not absorb scope quietly and present a surprise at the end, and we do not stop work over a small change while paperwork clears.
Intellectual property
You own everything we produce for you — source code, designs, content, prompts, models and documentation — on final payment. No license-back, no per-seat fee, no dependency on us to keep running it.
Hosting and third parties
Cloud, SaaS and media spend are billed at cost, in your own accounts wherever possible. We do not mark up infrastructure or ad spend, and we do not hold your accounts hostage.
Warranty
Defects against the agreed specification are fixed at no cost for 90 days after launch. New requirements discovered after launch are new work, and we will say clearly which one something is.
Termination
Retainers end with 30 days' notice on either side. Project work can be stopped at any milestone; you pay for work completed and receive everything produced to that point.
